Care Tribune LLC provides practice administration, medical billing and coding support, digital marketing, website development, and related services. The specific scope, deliverables, responsibilities, and service levels for a client engagement are defined in a separate written service agreement.
3. Client Responsibilities
Clients are responsible for providing timely, complete, and accurate information needed to perform services; maintaining appropriate clinical and business records; reviewing work when required; and complying with applicable federal, state, payer, professional, and healthcare requirements. Clients remain responsible for clinical decisions and for the accuracy and completeness of documentation supplied to Care Tribune.
4. Fees and Payment
Fees, invoicing, payment schedules, reimbursable expenses, and other financial terms are governed by the applicable service agreement or statement of work between Care Tribune and the client.
5. Confidentiality, HIPAA, and Business Associate Agreements
Each party will protect confidential information as required by its agreements and applicable law. Where Care Tribune performs functions that make it a Business Associate under HIPAA, the parties will enter into a Business Associate Agreement (BAA) before Care Tribune handles PHI in that role. HIPAA obligations relating to PHI will be governed by applicable law and the BAA.
6. Intellectual Property
The Care Tribune name, website content, branding, original materials, and other intellectual property are owned by Care Tribune LLC or their respective licensors unless otherwise stated. Client-owned materials remain the property of the client. Rights in custom deliverables are governed by the applicable service agreement.
7. No Guarantee of Collection or Revenue Results
Care Tribune does not guarantee payment of any claim, a particular reimbursement amount, collection rate, patient volume, search ranking, marketing result, or increase in revenue. Payer decisions, coding and documentation, patient responsibility, market conditions, and other factors outside our control may affect results.
8. Disclaimer of Warranties and Limitation of Liability
To the maximum extent permitted by law, the website and general website content are provided on an “as is” and “as available” basis without warranties not expressly stated in a written service agreement. Care Tribune will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the website. Any additional limitations applicable to paid services will be stated in the applicable service agreement and enforced to the extent permitted by law.
9. Termination
Either party may terminate paid services as permitted by the applicable service agreement. Care Tribune may restrict website access when reasonably necessary for security, legal compliance, misuse, or protection of its systems and rights.
10. Governing Law and Dispute Resolution
These website Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Unless a separate service agreement provides another procedure, the parties should first attempt in good faith to resolve a dispute informally. Any unresolved dispute will be handled in an appropriate court with jurisdiction in Wyoming, subject to applicable law.
11. Changes to These Terms
We may update these Terms from time to time. The revised version will be posted on this page with an updated effective date. Continued use of the website after changes become effective constitutes acceptance of the revised Terms to the extent permitted by law.
